If a company has built up profits on its balance sheet, it can turn some of those reserves into more shares. The extra bit is that extra queue in the demat. The question: what is a bonus share is often buried in another: did I just double my wealth?
No, it didn’t. The pie was cut thinner.
Quick Answer Box
A bonus share is a fully paid share issued free to existing members out of eligible reserves. You don’t pay, You don’t have to apply, if you own the stock as of the record date. The price is usually in the same proportion. Rights aren’t free. Split changes the face value. A cash dividend is money.
What Is a Bonus Share in the Stock Market?
What is bonus in share market language: The company capitalises profits or permitted reserves and issues new equity in a ratio like 1:1 (one new share for each one held) or 5:1 (five new for every one held)
What are bonus shares, how are they issued:
- Board recommends a ratio and a source of reserves.
- Shareholders approve if the Act and articles require it.
- Listed companies follow SEBI ICDR timelines and exchange notices.
- A record date is fixed. Who holds at the end of that date is entitled.
- Trading goes ex-bonus one session before the record date in the usual settlement calendar.
- New shares are allotted and listed. Depositories credit demat accounts.
Section 63 allows fully paid bonus shares only out of:
- free reserves
- the securities premium account
- the capital redemption reserve account
Revaluation reserves have gone. Bonus shares shall not be issued in lieu of dividend. Shares partly paid must be made fully paid. Allow capitalisation in articles. The company should not be in default in respect of any deposits or debt securities or statutory dues of employees.
SEBI’s old bonus chapter remains the discipline for listed companies: implement within six months of the board announcement and don’t flip the decision.
How Bonus Share Works (A 1:1 Picture)
You own 100 shares at Rs 400. Market value Rs 40,000.
The company releases 1:1 . You get 100 new shares. You have 200 now.
Price would print around ₹200 post ex-date if market is clean. The market value is still about ₹40,000, sentiment aside.
Paid-up share capital of company increased. The same face-value amount is deducted from reserves. Each holder holding through the record date has the same percentage ownership.
That’s why a bonus is a liquidity and signalling instrument, not a cash gift.
Right Shares and Bonus Share
| Bonus | Rights | |
| Payment | None | You pay the issue price |
| Who | All eligible holders automatically | Holders who apply and pay (or trade the right entitlement) |
| Source | Reserves already on the books | Fresh money into the company |
| Dilution if you skip | None if you held on record date | You shrink if you let rights lapse |
A rights issue raises cash. A bonus does not.
What Is the Difference Between Bonus Share and Stock Split?
A stock split reduces face value (₹10 becomes 2₹5 in 2-for-1 split) and increases number of units. No change in share capital in rupees. Reserves don’t go into capital like a bonus does.
A bonus does not alter the face value (unless the company alters it too) and creates new shares by capitalising reserves. Share capital Rs. up.
Both can make the ticket size smaller. The reserve account is only used for the bonus.
Difference Between Bonus Shares and Stock Dividends?
Many overseas textbooks define a stock dividend as additional shares rather than cash. That event is the bonus issue in Indian listed practice. There’s no separate “stock dividend” button on the broker app.
A cash dividend is cash in the bank. Future cash dividends, if declared, will be paid on the larger share count after a bonus.
Tax is not the same as a cash dividend. When you sell the extra shares, the bonus shares are usually considered to have no cost of acquisition and the holding period for those shares generally starts from allotment, not from the date you bought the original lot. Check live Income-tax Act 2025 schedule with a CA. The original parcel retains its own cost and holding period.
How Do I Claim Bonus Shares from My Brokerage Account?
You do not file a claim form for an ordinary listed bonus.
- Hold the shares in demat through the record date.
- Watch the exchange notice for record date and ex-date.
- After allotment, NSDL/CDSL credits the new ISIN or the additional quantity. Brokers often show the line in two to five working days.
- If the portfolio P&L looks broken for a session, wait for the corporate-action upload. ICICI Direct-class FAQs note a temporary P&L dip until quantity is adjusted.
- Physical-share holders follow the company’s dispatch process. Demat is the default.
If credit is not received after the published allotment date, open a ticket with the broker and check the depository holding. Don’t buy more of the stock assuming you were skipped until that check is done.
Pledged shares: In the normal CDSL/NSDL pledge set-up, your beneficial holding stays in your name for the purpose of corporate actions, but do check with the lender if the shares are locked in a special way.

| Action | Do you pay? | What changes on the books? | Demat action |
| Bonus | No | Reserves → share capital | Auto credit |
| Stock split | No | Face value down, units up | Auto adjust |
| Rights | Yes if you take them | Fresh capital | Apply / trade RE |
| Cash dividend | No | Profits leave as cash | Bank credit |

Risk Analysis: Eleven Bonus Errors
- Treating a 1:1 as doubled wealth.
- Buying after the ex-date and expecting the bonus.
- Confusing rights (pay) with bonus (free).
- Confusing split (face value) with bonus (reserves).
- Selling the original lot before record date and still expecting credit.
- Using the parent stock’s purchase cost as cost of the bonus units.
- Calling the event a cash dividend.
- Assuming every large ratio is a quality signal.
- Ignoring pledged-share paperwork.
- Trading the gap before demat quantity updates.
- Forgetting future dividends run on more shares, not a higher rupee automatically.
Table 2: Generic Advice vs. Strategic Thinking Matrix
| Decision Point | Generic Advice | Strategic Thinking |
| 1:1 headline | “Stock will fly” | Price should halve |
| Missing credit day 1 | “Broker stole shares” | Check allotment + DP |
| Bonus vs split | “Same thing” | Reserves vs face value |
| Rights in the same week | “Also free” | Rights need cash |
| Tax at sale | “Cost is average of old lot” | Bonus lot often starts at nil cost |
| Small-cap 10:1 | “Generous promoter” | Read liquidity |
Strategic thinking watches the record date, not the adjective “free.”
Closing Perspective
Bonus shares are additional units created from the capital reserve. If you own it on the record date, you get it. “You don’t pay. Usually the market will bring the price back down to the ratio. The rights are another letter. A split is another knive. Wait for demat credit and check the exchange notice. Keep a separate cost record for the new lot.
This is generic information, not a buy recommendation of any bonus announcing stock.
